Subscription Services

For subscription-based services, your subscription will automatically renew for successive periods unless canceled in accordance with the cancellation terms specified in your service agreement.

Intellectual Property

Our Intellectual Property

All content on our website, including but not limited to text, graphics, logos, images, software, and code, is the property of StrategiData or its licensors and is protected by copyright, trademark, and other intellectual property laws.

Your Use of Our Intellectual Property

You may not reproduce, distribute, modify, create derivative works of, publicly display, or publicly perform any of the content on our website without our express written permission.

Client Materials

Any materials or content you provide to us in connection with our services remains your property. You grant us a non-exclusive license to use, reproduce, and modify such materials solely for the purpose of providing the services to you.

Service Deliverables

Unless otherwise specified in a service agreement, upon full payment, you will own all deliverables created specifically for you as part of our services. However, we retain ownership of all pre-existing materials, methodologies, know-how, and intellectual property used to create the deliverables.

Confidentiality

Each party agrees to keep confidential any non-public information disclosed by the other party in connection with our services. Confidential information includes, but is not limited to, business plans, customer lists, financial information, and technical specifications.

This confidentiality obligation does not apply to information that:

• Is or becomes publicly available through no fault of the receiving party
• Is independently developed by the receiving party without use of the confidential information
• Is rightfully obtained from a third party without restriction
• Is required to be disclosed by law or legal process

Limitation of Liability

To the maximum extent permitted by law, StrategiData and its officers, directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, use, or goodwill, arising out of or in connection with these Terms or your use of our services.

In no event shall our aggregate liability for any claims arising out of or related to these Terms exceed the total amount paid by you to us during the six-month period prior to the event giving rise to the liability.

Indemnification

You agree to indemnify, defend, and hold harmless StrategiData and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, costs, or expenses (including reasonable attorneys' fees) arising out of or in connection with:

• Your violation of these Terms
• Your use of our services
• Your violation of any rights of a third party
• Your breach of any applicable laws or regulations

Termination

We may terminate or suspend your access to our services immediately, without prior notice or liability, for any reason, including but not limited to a breach of these Terms.

Upon termination, your right to use our services will immediately cease. All provisions of these Terms that by their nature should survive termination shall survive, including but not limited to ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the United Kingdom, without regard to its conflict of law provisions.

Any dispute arising out of or in connection with these Terms shall be resolved through:

1. Good faith negotiation between the parties
2. If negotiation fails, mediation through a mutually agreed mediator
3. If mediation fails, binding arbitration in London, UK, in accordance with the rules of the London Court of International Arbitration

Changes to Terms

We reserve the right to modify or replace these Terms at any time. The most current version will be posted on our website. By continuing to access or use our services after any revisions become effective, you agree to be bound by the revised Terms.
